Company registration in Kazakhstan
Registration of a Limited Liability Partnership (LLP; Rus. TOO) in the Republic of Kazakhstan
In Kazakhstan, a company can be registered in the name of a local citizen in one to three days, and then undergo the procedure of re-registration as a foreign legal entity. When re-registering a company in the name of an individual (foreign national), a C5 visa is required.
List of Documents and Procedure for Registering an LLP for a Non-resident in the Republic of Kazakhstan
In case the corporate founder is a foreign company:
- A legalised extract from the trade register with information about the founders of the foreign company (the «Parent Company»);
- A legalised document certifying the tax registration of the Parent Company in the country of incorporation;
- Legalised copies of the constituent documents of the Parent Company;
- A legalised resolution of the Parent Company on the record registration of an LLP in Kazakhstan and the appointment of the LLP Director;
- A legalised copy of the international passport of the CEO of the Parent Company;
- Location of the LLP (it is desirable to provide documents to avoid errors);
- A power of attorney from the Parent Company;
- A power of attorney from the Director of the Parent Company (to obtain a Kazakh IIN (Individual Identification Number) for him).
In case the individual founder is a foreign national
When registering a company in the name of a foreign individual, the procedure requires this foreign individual to obtain a C-5 business visa. The visa is obtained within about 1 to 2 months.
To obtain a C5 visa, the inviting party in Kazakhstan first issues an invitation to enter (to be provided).
The invitation is obtained within 7 business days, but this period can be extended up to 30 calendar days at the request of the state security authorities. Accordingly, documents will be submitted a month before entry.
To issue an invitation, you must provide:
- A scanned copy of the passport for traveling abroad with a notarised translation into Russian;
- Information about the place of work, indicating the full name and legal address of the employer or your own company, as well as the full name of your job title;
- Information about the future address of the place of residence in the Republic of Kazakhstan during the period of stay there;
- A scanned copy of the entitlement to permanent residence (if any);
- Information about the permanent place of residence (full address);
- Information about the time period of the future stay in the Republic of Kazakhstan.
Cost
Registration of an LLP costs $2,200, including:
- Obtaining an IIN for the CEO of the Parent Company (required for filing an application for registration of the LLP);
- Obtaining a BIN for the foreign company (required for filing an application for registration of the LLP);
- Obtaining EDS (Electronic Digital Signature) keys for the foreign company (required for filing an application for registration of the LLP);
- Preparing constituent documents of the LLP;
- Registering the LLP;
- Producing a seal for the LLP;
- Obtaining EDS keys for the LLP.
Registration of an LLP with an individual founder costs $1,700.
Legal address (if the LLP is not a VAT payer) costs $120 per month.
If the company is a VAT payer, an office with a sign is required, since the tax authorities organise audits for the actual availability of the office from time to time. In this case, the cost is calculated separately.
Director services (depending on workload) cost $50/hour and at least $200/month.
